You should carefully consider and evaluate each of the following risk factors and all other information contained in this White Paper before deciding to participate in the ICO. To the best of GO’s knowledge and belief, all risk factors which are material to you in making an informed judgment to participate in the ICO have been set out below. If any of the following considerations, uncertainties or material risks develops into actual events, the business, financial position and/or results of operations of GO and the maintenance and level of usage of the GO platform and the GO Tokens could be materially and adversely affected. In such cases, the trading price of GO Tokens (in the case where they are listed on a cryptocurrency exchange) could decline due to any of these considerations, uncertainties or material risks, and you may lose all or part of your GO Tokens.
Nature of the GO Token
The GO Token is a utility token which only function is to allow GO Token subscribers access to future products and services. GO Tokens do not represent an ownership interest in GOeureka or in GO’s platform. GO Tokens neither convey to GO Token subscribers any right to a share in the profits of GOeureka nor any rights of a creditor in relation to any debt owed by GOeureka.
Risks Relating to Participation in the ICO
There is no prior market for GO Tokens and the ICO may not result in an active or liquid market for the GO Tokens. Prior to the ICO, there has been no public market for the GO Tokens. Although GO will use reasonable endeavors to seek the approval for availability of the GO Tokens for trading on a cryptocurrency exchange, there is no assurance that such approval will be obtained. Furthermore, even if such approval is granted by a cryptocurrency exchange, there is no assurance that an active or liquid trading market for the GO Tokens will develop, or if developed, will be sustained after the GO Tokens have been made available for trading on such cryptocurrency exchange. There is also no assurance that the market price of the GO Tokens will not decline below the original purchase price (the “Purchase Price”). The Purchase Price may not be indicative of the market price of the GO Tokens after they have been made available for trading on a cryptocurrency exchange. A GO Token is not a currency issued by any central bank or national, supra-national or quasi-national organization, nor is it backed by any hard assets or other credit. GO is not responsible for, nor does it pursue, the circulation and trading of GO Tokens on the market. Trading of GO Tokens will merely depend on the consensus on its value between the relevant market participants. No one is obliged to purchase any GO Token from any holder of the GO Token, including the purchasers, nor does anyone guarantee the liquidity or market price of GO Tokens to any extent at any time. Furthermore, GO Tokens may not be resold to purchasers who are citizens or permanent residents of any jurisdiction where the purchase of GO Tokens may be in violation of applicable laws. Accordingly, GO cannot ensure that there will be any demand or market for GO Tokens, or that the Purchase Price is indicative of the market price of GO Tokens after they have been made available for trading on a cryptocurrency exchange. Future sales or issuance of the GO Tokens could materially and adversely affect the market price of GO Tokens. Any future sale or issuance of the GO Tokens would increase the supply of GO Tokens in the market and this may result in a downward price pressure on the GO Token. The sale or distribution of a significant number of GO Tokens outside of the ICO, or the perception that such further sales or issuance may occur, could adversely affect the trading price of the GO Tokens.
Negative publicity may also materially and adversely affect the price of the GO Tokens. Negative publicity involving GO, the GO platform, the GO Tokens or any of the key personnel of GO, and/or regulation of cryptocurrencies may also materially and adversely affect the market perception or market price of the GO Tokens, whether or not it is justified.
There is no assurance that there will be sufficient engagement in the GO platform such that you will receive such benefits and rights anticipated to be distributed to active users of the GO platform. This is because the ability of GO to provide the GO Token subscribers their rights and benefits depend on the future results of operations and the future business and financial condition of the ICO, and there is no assurance of the future results of operations and the future business and financial condition of GO and/or the ICO. There is also no assurance of any success of the GO platform. The value of, and demand for, the GO Tokens hinges heavily on the performance of the GO platform and the continuous active engagement of its users and success of its contemplated business lines. There is no assurance that the GO platform will gain traction after its launch and achieve any commercial success. Furthermore, there is no assurance that any of the activities contemplated by GO will be launched and generate sufficient customer traction. While GO has made every effort to provide a realistic estimate, there is also no assurance that the funds raised in the ICO will be sufficient for the development of the GO platform. For the foregoing or any other reason, the development of the GO platform may not be completed and there is no assurance that it will be launched at all. As such, distributed GO Tokens may hold little worth or value.
There is no assurance that there will be no theft of the cryptocurrencies as a result of hacks, sophisticated cyber-attacks, distributed denials of service or errors, vulnerabilities or defects on the ICO website, on the Ethereum or any other blockchain, or otherwise. Such events may include, for example, flaws in programming or source code leading to exploitation or abuse thereof. In such event, even if the ICO is completed, GO may not be able to receive the cryptocurrencies raised and GO may not be able to use such funds for the development of the GO platform.

According to the professional opinion of our legal advisors, our GO Tokens should not be deemed as securities pursuant to the laws of Singapore and do not need to be registered as a security.
